Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the iusign e-signature platform, APIs, documentation, and related services (collectively, the "Services"). By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.

Eligibility: You must be at least 16 years old (or 13 in the United States with parental consent) and legally capable of entering into a binding agreement.

2. Definitions

• "Agreement" means these Terms, the Privacy Policy, and any applicable order forms or addenda.
• "Content" means documents, signatures, metadata, audit trails, and other materials you upload, create, or transmit via the Services.
• "Customer" means the individual or entity that subscribes to or uses the Services.
• "End User" means any individual whose data is processed through the Services at Customer's direction.
• "iusign", "we," "our," or "us" refers to iusign and its affiliates.

3. Account Registration and Security

To access certain features, you must register an account. You agree to: (a) provide accurate, current, and complete information; (b) maintain and promptly update your information; (c) safeguard your credentials; and (d) notify us immediately of unauthorized use.

Your Responsibility: You are solely responsible for all activities under your account. We are not liable for loss or damage arising from your failure to protect credentials or from unauthorized access due to your negligence.

4. Acceptable Use

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights
• Upload Content that is illegal, fraudulent, defamatory, harassing, or infringing
• Interfere with or disrupt the Services or servers/networks connected to them
• Attempt to gain unauthorized access to any part of the Services or related systems
• Use the Services to send unsolicited communications or engage in spam
• Reverse engineer, decompile, or attempt to extract source code (except as expressly permitted by law)
• Impersonate any person or entity or misrepresent your affiliation

We reserve the right to suspend or terminate access for violations of this section, with or without notice.

5. Content Ownership and License Grants

5.1 Your Content

You retain all rights, title, and interest in and to your Content. By uploading Content to the Services, you grant iusign a worldwide, non-exclusive, royalty-free license to host, process, transmit, and display such Content solely for the purpose of providing and improving the Services. This license terminates when you delete Content or your account, subject to backup retention periods described in our Privacy Policy.

5.2 Feedback

If you provide suggestions, feedback, or ideas for improving the Services ("Feedback"), you grant iusign a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback without compensation or attribution.

5.3 iusign Intellectual Property

The Services, including software, APIs, documentation, designs, and trademarks, are owned by iusign or its licensors and protected by intellectual property laws. Except as expressly stated, these Terms do not grant you any license to iusign intellectual property.

6. Third-Party Services and Integrations

The Services may integrate with or link to third-party services (e.g., cloud storage, CRM systems). Your use of such services is governed by their respective terms and privacy policies. iusign is not responsible for the availability, accuracy, security, or practices of third-party services. You assume all risks associated with third-party integrations.

7. Fees, Payment, and Free Trials

Some features may require payment. Fees, billing cycles, and payment terms are specified in your order form or pricing page. You agree to provide valid payment information and authorize us to charge your selected payment method.

Free Trials: Trial access is provided "AS-IS" for evaluation purposes. We may limit features, usage, or duration. Trials may be terminated at our discretion. No refunds for unused trial time.

Price Changes: We may modify fees with at least 30 days' notice. Continued use after notice constitutes acceptance. If you do not accept, you may terminate your account before changes take effect.

8. Suspension and Termination

By You: You may terminate your account at any time via account settings or by contacting us. Upon termination, your right to use the Services ceases immediately.

By Us: We may suspend or terminate your access at any time, with or without cause or notice, including for: (a) breach of these Terms; (b) suspected fraud or abuse; (c) legal or regulatory requirements; or (d) discontinuation of the Services.

Effect of Termination: Upon termination, we may delete your Content per our retention policy. Sections 5 (Content), 9-15 (Disclaimers, Liability, Indemnity, etc.) survive termination.

11. Indemnification

You agree to defend, indemnify, and hold harmless iusign and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your Content or its use; (c) your violation of these Terms or applicable law; or (d) your negligence or willful misconduct.

12. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed by the laws of Delaware, USA, without regard to its conflict of laws principles. The UN Convention on Contracts for the International Sale of Goods does not apply.

Mandatory Arbitration: ANY DISPUTE ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED EXCLUSIVELY THROUGH BINDING ARBITRATION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

13. Changes to Terms

We may modify these Terms at any time. We will provide notice of material changes by posting the updated Terms with a revised "Last Updated" date. Your continued use of the Services after changes take effect constitutes acceptance.
